DigiBit Marketing Terms and Conditions
These Terms and Conditions (“Agreement”) govern the relationship between DigiBit Marketing (“Agency,” “we,” “us,” or “our”) and our clients (“Client,” “you,” or “your”). By engaging in our services, you agree to the terms set forth in this Agreement.
1. Services Provided
DigiBit Marketing offers SEO services with a particular focus on eCommerce organic growth. Our services include, but are not limited to, SEO audits, on-page optimization, keyword research, backlink building, and content strategy.
2. Payment Terms
Our services are available on a monthly retainer or project-based pricing model.
- All payments are required before services begin or at the start of the contract.
- Invoices must be paid on or before the due date indicated. If payment is delayed beyond [X] days without prior agreement, the Agency reserves the right to pause services until payment is received. Late fees may be imposed only if explicitly agreed upon in writing between both parties.
3. Contract Duration and Early Termination
Either party may terminate the contract with a 30-day written notice.
- If the Client wishes to terminate the contract due to dissatisfaction with the services provided, the Client may be eligible for a partial refund, subject to a review of the services delivered, timeline adherence, and Agency performance. This refund does not apply to non-achievement of specific SEO goals, as the results may be influenced by factors outside of the Agency’s control.
- If a Client terminates early for reasons outside of specific service failures, the Client will still be responsible for full payment as per the contract.
4. No Guarantee of Specific Results
While we aim to deliver high-quality services that improve your website’s visibility and performance, SEO is a long-term strategy. We do not guarantee specific outcomes, such as keyword rankings or traffic growth, as these depend on various factors outside our control, including search engine algorithm changes, the competitiveness of your market, and the initial state of your website. Results may vary and often take several months to become noticeable.
5. Revisions and Additional Work
Any revisions requested beyond the scope of the initial agreement may incur additional charges. We will inform the Client in advance if additional work is outside the scope of the original contract, and we will provide an estimate for the extra charges.
6. Ownership of Work
Upon full payment, the Client owns all deliverables including reports, content, and strategies created during the course of the project, as specified in the plan.
- The Agency retains ownership of any proprietary tools, methodologies, or techniques used during the project that were not explicitly delivered to the Client.
7. Confidentiality and Non-Disclosure
The Agency agrees to keep all of the Client’s information, business data, and strategies confidential. If requested, the Agency can sign a Non-Disclosure Agreement (NDA) to formalize this commitment.
8. Limitation of Liability
DigiBit Marketing’s liability is limited to the amount the Client has paid for the services under this agreement.
- We are not liable for any indirect damages, including but not limited to lost profits, loss of data, or business interruptions caused by factors outside of our control, such as algorithm changes, hosting issues, or other unforeseen events.
- The Agency is only responsible for direct damages caused by our negligence or failure to deliver the agreed services.
9. Force Majeure
Neither party shall be held liable for any failure or delay in performance under this Agreement where such failure or delay is caused by circumstances beyond their control, including but not limited to natural disasters, pandemics, acts of war, government regulations, labor strikes, or technical failures. In such cases, the affected party shall notify the other party in writing, and both parties shall work in good faith to resolve the matter.
10. Indemnity
The Client agrees to indemnify, defend, and hold harmless the Agency, its affiliates, and employees from and against any and all claims, damages, liabilities, costs, and expenses (including attorney fees) arising out of or related to content or materials provided by the Client for use in the project.
11. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter through informal negotiations first. If a resolution cannot be reached through informal discussions, other dispute resolution methods, such as mediation or arbitration, may be considered as agreed by both parties.
- This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction].
12. Amendments
DigiBit Marketing reserves the right to update or modify these Terms and Conditions at any time. Changes will be communicated to clients at least 30 days before the updated terms take effect. Continued use of our services after the changes have been communicated will constitute acceptance of the updated terms.
